Independent partner terms for recurring referral income.

Program overview

Happy Light Tech operates a referral and partner program for independent sales partners who introduce eligible US dental clinics to Happy Light AI. The program is designed for referrals to real dental practices that may benefit from an AI receptionist built for Open Dental workflows.

Independent partner relationship

Partners are independent contractors. Participation does not create employment, agency, franchise, joint venture, or legal representative status. Partners may not sign contracts, make binding commitments, negotiate protected health information, or represent that they are employees of Happy Light Tech.

Commission eligibility

Unless a written partner agreement states otherwise, eligible partners may earn $10 per month for each referred clinic that becomes a paying active customer and remains in good standing. Commissions stop immediately when a referred clinic cancels, is suspended, receives a refund, fails payment, is determined to be fraudulent, or otherwise becomes ineligible.

Referral attribution may be tracked through PromoteKit or another approved partner platform. Tracking must be created through approved links or referral mechanisms. Happy Light Tech may reject or reverse commissions for self-referrals, duplicate referrals, coupon abuse, fake clinics, misleading submissions, or activity that violates these terms.

Payouts and fees

Payouts are available only when the payable commission balance reaches at least $100. Partner portals, tax forms, payout timing, and payout methods may be administered by PromoteKit, Stripe, PayPal, or another approved provider. PayPal fees, withdrawal fees, currency conversion fees, bank fees, and similar payout processor charges are the partner's responsibility and may reduce the amount received.

Happy Light Tech may delay commission availability until the applicable payment, fraud, refund, and chargeback review period has passed. If a referred clinic later receives a refund, initiates or wins a chargeback, fails payment, is determined to be fraudulent, violates program rules, or is otherwise disqualified, any related commission may be reversed.

If a reversed commission has already been paid, Happy Light Tech may set off or deduct that amount from future commissions. If future commissions are insufficient, the partner must promptly return the overpaid amount on request.

Taxes and forms

Partners are responsible for their own taxes, reporting, deductions, and records. Happy Light Tech or its payout provider may require W-9, 1099, W-8, identity, business, or tax information before releasing payments where required by law or platform policy.

Permitted promotion

Partners may share approved referral links, introduce clinics by email, speak with local dental offices, and describe Happy Light AI using accurate public marketing claims. Partners should be clear that Happy Light AI assigns a dedicated AI answering number and that the clinic or phone provider remains responsible for configuring call forwarding from the existing practice line.

Prohibited conduct

• No spam, purchased email blasts, robocalls, deceptive ads, false endorsements, or violations of CAN-SPAM, TCPA, state privacy laws, platform rules, or carrier rules.
• No collection, request, storage, or transmission of patient protected health information.
• No promises that Happy Light AI verifies insurance benefits, gives clinical advice, guarantees treatment outcomes, guarantees revenue, or replaces licensed dental staff judgment.
• No use of Happy Light Tech branding, domains, paid search terms, or advertising creatives in a confusing or unauthorized way.
• No incentives, rebates, or gifts that violate dental practice rules, healthcare laws, anti-kickback concerns, or professional obligations.

Compliance and patient privacy

Partners must not handle patient calls, patient files, appointment details, recordings, transcripts, insurance cards, or other ePHI on behalf of Happy Light Tech or a clinic. Any clinic interested in service should use Happy Light Tech's official onboarding, agreement, and secure dashboard workflows.

Brand and claims

Partners may use approved names, links, and public descriptions solely to promote Happy Light AI. Partners may not imply that Happy Light Tech endorses their business, guarantees a clinic's financial result, or authorizes them to provide legal, clinical, billing, insurance, HIPAA, or technical advice.

Changes, suspension, and termination

Happy Light Tech may update the program, commission rates, payout thresholds, eligibility criteria, or these terms prospectively. We may suspend or terminate a partner account and withhold unpaid commissions if we detect fraud, policy abuse, compliance risk, brand misuse, or conduct that harms clinics, patients, or the platform.
